Plain English Summary: These terms govern your use of Nozari. We've tried to make them readable while still being legally sound. The key points: use Nozari responsibly, respect others' privacy, pay for what you use, and we'll work hard to provide a great service.

1. Agreement to Terms

By accessing or using the Nozari application and services ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

These Terms apply to all visitors, users, and others who access or use the Service. By using the Service, you represent that you are at least 18 years of age and have the legal capacity to enter into a binding agreement.

2. Description of Service

Nozari is a wedding party coordination platform that enables couples and their wedding parties to plan, communicate, and share content related to their wedding. The Service includes, but is not limited to:

  • Wedding event scheduling and calendar management
  • Photo and video sharing within wedding parties
  • Budget tracking and expense management
  • Vendor contact management
  • Guest list and RSVP management
  • Polls and group decision-making tools
  • Document and mood board creation

3. User Accounts

3.1 Account Creation

To use certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for safeguarding the password you use to access the Service and for any activities or actions under your account. You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

3.3 Account Types and Roles

The Service provides different user roles with varying levels of access and permissions:

  • Couple (Admin): Full administrative access to all wedding features
  • Honor Attendant: Elevated permissions for their side of the wedding party
  • Party Member: Standard access to view content and participate in their side's activities

4. Subscription and Payment

4.1 Pricing

Access to the Service requires a paid subscription. Current pricing is $89 USD for 6 months of access. Prices are subject to change with 30 days' notice to existing subscribers.

4.2 Payment Processing

Payments are processed through Stripe, a third-party payment processor. By providing payment information, you authorize us to charge your payment method for the subscription fee. Nozari does not store your complete payment card information on our servers.

4.3 Refund Policy

We offer a 14-day money-back guarantee from the date of purchase. If you are not satisfied with the Service within this period, you may request a full refund by contacting support@nozari.app. Refunds requested after the 14-day period will be considered on a case-by-case basis at our sole discretion.

4.4 Add-ons and Additional Purchases

Additional features, such as extra party member seats or increased storage, may be purchased within the app. These purchases are non-refundable unless required by applicable law.

5. User Content

5.1 Your Content

You retain all rights to content you upload, post, or share through the Service ("User Content"). By uploading User Content, you grant Nozari a limited, non-exclusive license to store, display, and transmit your content solely for the purpose of providing the Service to you and other authorized users of your wedding space.

5.2 Content Restrictions

You agree not to upload, post, or share content that:

  • Infringes on any intellectual property rights of others
  • Contains unlawful, defamatory, or harmful material
  • Contains malware, viruses, or other harmful code
  • Violates the privacy rights of others
  • Is fraudulent, misleading, or deceptive
  • Contains explicit sexual content or promotes violence

5.3 Content Removal

We reserve the right to remove any User Content that violates these Terms or that we determine, in our sole discretion, to be harmful, offensive, or otherwise objectionable. We will make reasonable efforts to notify you before removing content, except in cases where immediate removal is necessary.

6. Acceptable Use

You agree to use the Service only for lawful purposes. You agree not to:

  • Use the Service in any way that violates any applicable federal, state, local, or international law or regulation
  • Attempt to gain unauthorized access to any part of the Service, other accounts, or computer systems
  • Interfere with or disrupt the integrity or performance of the Service
  • Use any automated means (bots, scrapers, etc.) to access the Service without our express written permission
  • Impersonate any person or entity, or falsely state or misrepresent your affiliation with a person or entity
  • Harvest, collect, or gather user data without consent
  • Use the Service for any commercial purpose not expressly permitted

7. Intellectual Property

The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of Nozari and its licensors. The Service is protected by copyright, trademark, and other laws of the United States and foreign countries.

Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Nozari.

8. Privacy

Your privacy is important to us. Our collection and use of personal information in connection with the Service is described in our Privacy Policy, which is incorporated into these Terms by reference.

9. Termination

9.1 Termination by You

You may terminate your account at any time by contacting us at support@nozari.app or through the account settings in the app. Upon termination, your right to use the Service will immediately cease.

9.2 Termination by Us

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms. Reasons for termination may include, but are not limited to:

  • Violation of these Terms
  • Fraudulent or illegal activity
  • Non-payment of fees
  • Requests by law enforcement
  • Extended periods of inactivity

9.3 Effect of Termination

Upon termination, your data will be retained in read-only mode for 30 days to allow you to export your content. After this period, your data will be permanently deleted from our servers in accordance with our Privacy Policy.

10. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. NOZARI EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that (a) the Service will be uninterrupted, secure, or error-free; (b) the results obtained from the Service will be accurate or reliable; or (c) any errors in the Service will be corrected.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL NOZARI, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of or inability to access or use the Service
  • Any conduct or content of any third party on the Service
  • Any content obtained from the Service
  • Unauthorized access, use, or alteration of your transmissions or content

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to defend, indemnify, and hold harmless Nozari and its licensors, employees, contractors, agents, officers, and directors from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from:

  • Your use of and access to the Service
  • Your violation of any term of these Terms
  • Your violation of any third-party right, including any copyright, property, or privacy right
  • Any claim that your User Content caused damage to a third party

13. Dispute Resolution

13.1 Informal Resolution

Before filing a claim against Nozari, you agree to try to resolve the dispute informally by contacting us at contact@nozari.app. We'll try to resolve the dispute informally by contacting you via email. If a dispute is not resolved within 30 days of submission, you or Nozari may bring a formal proceeding.

13.2 Arbitration

Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules. The arbitration shall be conducted in English and the arbitrator's decision shall be final and binding.

13.3 Class Action Waiver

YOU AND NOZARI AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

14. General Provisions

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

14.2 Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

14.3 Entire Agreement

These Terms constitute the entire agreement between you and Nozari regarding the Service and supersede all prior agreements and understandings.

14.4 Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

14.5 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
